General Information
- Name of the company
- Registration No (UEN) of the company
- Financial Year End (FYE)
- Statement by Directors
- Full name of directors in office
- Principal Activity of the company
- Directors’ Shareholdings
- Name of Directors to sign the annual accounts Financial Statements
- Currency used if it is not S$
- Authorized & Issued Capital of the company (e.g. 10,000 shares of $1 each)
- Bank statements
- Any director fee to be paid
- Dividend to be paid from retained earnings
- Notes to the Financial Statements
- The address of the company’s registered office.
- The date when the board of directors authorized the financial statements to be issued.
- Any purchase of fixed assets
All exempt private companies limited by shares (EPC) and small companies with a yearly turnover of less than $10 millions (employed less than $10 millions in assets and less than 50 employees) are not required to have their accounts audited by qualified auditors. Instead they will prepare unaudited financial statement (UFS) for the AGM and for filling with ACRA.
An exempt private company is defined under section 4(1) of the Company Act as a company which has not more than 20 shareholders and its shares are not held by another company and have a revenue of not more than $10 millions
An EPC must still file its Income Tax Return (Form C or Form C-S) online, on or before 15 December the following year. (e.g. accounts ended in 2020 must file on or before 15 December 2021).
